Dear Mr. Thompson,

This letter is written on behalf of our client, Meridian Solutions LLC, regarding your company's material breach of the Software Development Agreement dated March 15, 2025 (the "Agreement").

Pursuant to Section 7.2 of the Agreement, your company was obligated to deliver the completed platform by September 1, 2025. Our client is entitled to all damages proximately caused by this breach, see Cal. Civ. Code § 3300, and as of the date of this letter, no conforming delivery has been made.

This breach has resulted in approximately $340,000 in lost revenue and additional remediation costs borne by our client.

We hereby demand full performance or, alternatively, payment of $340,000 within fourteen (14) calendar days of receipt of this letter.
